RunsOn Non-Profit License Agreement

Version 2.0 | Effective Date: October 14 2025

1. Definitions

For purposes of this Agreement:

  • ā€œSoftwareā€ means the RunsOn self-hosted GitHub Actions runners software, including all components, documentation, and updates provided by Licensor.
  • ā€œLicenseeā€ means the qualifying non-profit organization using the Software under this license.
  • ā€œLicensorā€ means RunsOn and its affiliates providing the Software.
  • ā€œNon-Profit Organizationā€ means an organization that operates exclusively for charitable, educational, religious, scientific, or other non-profit purposes, and does not distribute profits to private individuals or entities.
  • ā€œInstallationā€ means a deployed instance of the Software running in an AWS account, identified by a unique configuration.
  • ā€œGitHub Organizationā€ means a GitHub organization account.
  • ā€œConcurrent Installationsā€ means the maximum number of active Software installations that may run simultaneously across all AWS accounts associated with a single GitHub Organization.
  • ā€œAnnual Periodā€ means a twelve (12) month period beginning on the date of initial license activation or renewal.
  • ā€œTermā€ means the period during which this Agreement remains in effect.

2. Eligibility

  • This license is available only to organizations that qualify as Non-Profit Organizations.
  • Licensee represents and warrants that it is a bona fide Non-Profit Organization operating exclusively for non-commercial purposes.
  • Licensor reserves the right to request proof of non-profit status at any time, including but not limited to:
    • Tax-exempt status documentation (e.g., 501(c)(3) determination letter in the US, or equivalent in other jurisdictions)
    • Official registration documents
    • Financial statements demonstrating non-profit operation
    • Other documentation reasonably requested by Licensor
  • Licensor reserves the right to review and immediately cancel this license if Licensee cannot provide adequate proof of non-profit status or if Licensee’s non-profit status changes.

3. License Grant

  • Licensor grants Licensee a non-exclusive, non-transferable, revocable license to install and use the Software at no charge for the organization’s non-profit activities during the Term.
  • This license is limited to the specific GitHub Organization identified during registration.
  • Licensee may install the Software only in AWS accounts owned or controlled by Licensee.
  • This license is contingent upon Licensee’s continued status as a Non-Profit Organization and compliance with all terms of this Agreement.

4. Intellectual Property Rights

  • The Software and all intellectual property rights therein remain the exclusive property of Licensor.
  • This Agreement grants Licensee only the limited right to use the Software as expressly provided herein.
  • Licensee shall not reverse engineer, decompile, disassemble, modify, or create derivative works of the proprietary Software components. This restriction does not apply to open source components, CloudFormation templates, or configuration files that are intended for customization.
  • Licensee shall not remove, alter, or obscure any proprietary notices or labels on the Software.

5. No License Fee

  • No payment is required for this non-profit license.
  • This license is provided at no charge in recognition of Licensee’s non-profit status and mission.
  • If Licensee’s non-profit status changes or Licensee begins using the Software for commercial purposes, Licensee must immediately notify Licensor and transition to a commercial license.

6. License Scope and Restrictions

  • The license permits up to three (3) concurrent installations per GitHub Organization.
  • Each installation must be deployed within AWS accounts owned or controlled by Licensee.
  • The Software may be used only for Licensee’s non-profit activities and purposes.
  • Licensee shall not:
    • Sublicense, sell, rent, lease, or distribute the Software to third parties
    • Use the Software to provide services to third parties for profit
    • Use the Software for any commercial purposes
    • Share access credentials or allow unauthorized access to installations
    • Exceed the permitted number of concurrent installations

7. Marketing Rights and Attribution (Mandatory)

This is a key condition of the free non-profit license:

  • By accepting this license, Licensee MUST provide a public shoutout and attribution to RunsOn.
  • This attribution must include:
    • A visible mention of RunsOn on Licensee’s website, documentation, or other public materials
    • A working hyperlink to https://runs-on.com ↗
    • Acknowledgment that RunsOn is being used for the organization’s CI/CD infrastructure
  • Acceptable forms of attribution include (but are not limited to):
    • Footer or sponsors section on organization website
    • README file or documentation in main GitHub repositories
    • Blog post or social media announcement
    • Credits page or acknowledgments section
  • The attribution must remain publicly accessible for the duration of this Agreement.
  • Failure to provide or maintain this attribution is grounds for immediate license termination.
  • Additionally, Licensee grants Licensor permission to use Licensee’s name and logo on marketing materials, website, and promotional content for the duration of this Agreement as evidence of non-profit adoption.

8. Term, Renewal, and Termination

  • This license is granted for one (1) year and will automatically renew upon:
    • Continued compliance with all license terms
    • Confirmation of continued non-profit status if requested by Licensor
    • Maintenance of required public attribution
  • Either party may terminate this Agreement with thirty (30) days written notice.
  • Licensor may terminate this Agreement immediately if:
    • Licensee fails to provide proof of non-profit status when requested
    • Licensee’s non-profit status changes or is revoked
    • Licensee breaches any term of this Agreement, including the attribution requirement
    • Licensee begins using the Software for commercial purposes
  • Upon termination, Licensee must immediately cease using the Software and remove all installations.
  • Sections 4, 10, 11, 12, 13, and 16 shall survive termination.

9. Updates and Support

  • Licensor will provide Software updates during the Term.
  • Technical support is provided on a best-effort basis during business hours (9 AM - 5 PM CET, Monday through Friday).
  • Support is provided through standard channels and is prioritized after commercial license holders.
  • Licensor reserves the right to discontinue support for older Software versions.

10. Warranty Disclaimer

  • THE SOFTWARE IS PROVIDED ā€œAS ISā€ WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
  • LICENSOR DOES NOT GUARANTEE THAT THE SOFTWARE WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.
  • LICENSOR REPRESENTS AND WARRANTS THAT THE SOFTWARE PROVIDED UNDER THIS LICENSE DOES NOT AND WILL NOT CONTAIN ANY VIRUS OR OTHER CONTAMINANT, OR DISABLING DEVICES TO THE EXTENT SUCH ISSUES ARE CAUSED BY LICENSOR’S OWN CODE AND NOT BY THIRD-PARTY COMPONENTS, LIBRARIES, OR DEPENDENCIES.
  • LICENSOR IS NOT RESPONSIBLE FOR THE SECURITY, INTEGRITY, OR PERFORMANCE OF ANY THIRD-PARTY CODE, LIBRARIES, OR DEPENDENCIES, INCLUDING BUT NOT LIMITED TO THOSE INCLUDED IN EC2 BASE IMAGES (AMIS).
  • IF YOU HAVE CONCERNS ABOUT THE BASE AMIS, YOU CAN REBUILD THEM USING YOUR OWN PROCESSES AND TOOLS. LICENSOR IS NOT RESPONSIBLE FOR ANY ISSUES ARISING FROM THE USE OF MODIFIED OR REBUILT AMIS.

11. Limitation of Liability

  • IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SOFTWARE OR SUPPORT SERVICES.
  • LICENSOR’S TOTAL LIABILITY UNDER THIS NON-PROFIT LICENSE SHALL NOT EXCEED ONE HUNDRED EUROS (100€).
  • This limitation applies regardless of the theory of liability and even if Licensor has been advised of the possibility of such damages.
  • Some jurisdictions do not allow exclusion of implied warranties or limitation of liability, so these limitations may not apply to you.

12. Indemnification

  • Licensee shall indemnify, defend, and hold harmless Licensor from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from:
    • Licensee’s use of the Software
    • Breach of this Agreement by Licensee
    • Violation of applicable laws by Licensee
    • Unauthorized modifications to the Software by Licensee
    • Any third-party claims related to Licensee’s deployment or operation of the Software
    • Misrepresentation of Licensee’s non-profit status

13. Compliance and Audit

  • Licensee shall maintain accurate records of Software installations and usage.
  • Licensee shall maintain documentation of its non-profit status.
  • Licensor may, upon reasonable notice, request verification of:
    • Compliance with license terms
    • Current non-profit status
    • Proper attribution and public shoutout
  • Licensee agrees to cooperate in good faith with any compliance verification efforts.
  • Failure to cooperate or provide requested documentation may result in immediate license termination.

14. Confidentiality

  • Licensee acknowledges that the Software contains proprietary and confidential information.
  • Licensee shall protect the confidentiality of the Software using the same degree of care used for its own confidential information, but no less than reasonable care.
  • This obligation survives termination of this Agreement.

15. Assignment and Transfer

  • This license is non-transferable and may not be assigned by Licensee without Licensor’s prior written consent.
  • Any attempted assignment without consent shall be void.
  • In the event of a merger or consolidation with another non-profit organization, Licensee may request consent to assign, which shall not be unreasonably withheld if the resulting organization qualifies as a Non-Profit Organization.

16. Modification of Terms

  • Licensor may modify this Agreement with thirty (30) days prior written notice.
  • Continued use of the Software after the effective date constitutes acceptance of modified terms.
  • If Licensee does not accept modified terms, Licensee may terminate this Agreement.

17. Notices

  • All notices shall be in writing and delivered via email to the addresses provided during registration.
  • Licensor notices to: [email protected]
  • Licensee notices to: the email address associated with the GitHub Organization
  • Notices are deemed received when sent to the designated email address.

18. General Provisions

  • Governing Law: This Agreement is governed by the laws of France, excluding conflict of law principles.
  • Severability: If any provision is found invalid or unenforceable, the remainder shall remain in effect.
  • Entire Agreement: This Agreement constitutes the entire agreement and supersedes all prior agreements and understandings.
  • Force Majeure: Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control.
  • No Agency: This Agreement does not create any agency, partnership, or joint venture relationship between the parties.

19. Acceptance

By activating, downloading, installing, or using the Software under this non-profit license, Licensee acknowledges that it:

  • Has read and understands this Agreement
  • Agrees to be bound by its terms and conditions
  • Represents that it is a qualifying Non-Profit Organization
  • Agrees to provide the required public attribution with link to runs-on.com
  • Consents to Licensor’s use of its name and logo for marketing purposes

20. Transition to Commercial License

If Licensee’s non-profit status changes or Licensee wishes to use the Software for commercial purposes:

  • Licensee must immediately notify Licensor
  • This non-profit license will terminate
  • Licensee must transition to a Standard License (300€/year) or Sponsorship License (1,500€/year)
  • Licensor will work with Licensee to facilitate a smooth transition
